Head of Middle office and Product Creation and Administration my responsibilities include the following :

- Review transaction documentation, and ensure full compliance with fund investment policy;

- Perform financial covenant monitoring, checking of financial ratio, following up of annual report and other conditions subsequent;

- Perform new account opening, account maintenance, and monitor the completeness of transaction documents

- Liaise with front office, risk and legal counsel on all transactions;

- Handle ad-hoc request and audit matters as required by the needs of the firm

- Coordination and monitoring of transaction with the Back Office, custodian, fund accountants and auditors;

- Coordinating the creation and administration of investment funds managed or advised by SGAM Private Equity including: registration of funds in France and abroad; the relations with local regulators; the funds’ custodian, auditors and accountants; the establishment of the funds’ workflow process and operating memorandum; representation of SGAM Private Equity within the professional bodies of investment managers
- Coordinating and supervising foreign entities established by SGAM Private Equity with respect to:
a) Their employment issues, by providing SGAM PE’s support with respect to their mission (follow-up on employment contracts, pay-roll, social coverage, recruitement process…);
b) Their day-to-day operational issues, by liaising with SGAM PE internal support functions (legal, risk management, HR, communications…) ;
c) Their reporting with their related operational divisions

As head of Product Creation and Administration my responsibilities include the following :
- Coordinating the creation and administration of investment funds managed or advised by SGAM Alternative Investments including: registration of funds in France and abroad; the relations with local regulators; the funds’ custodian, auditors and accountants; the establishment of the funds’ workflow process and operating memorandum; representation of SGAM Alternative Investments within the professional bodies of investment managers
- Coordinating and supervising foreign entities established by SGAM AI with respect to:
a) Their employment issues, by providing SGAMAI’s support with respect to their mission (follow-up on employment contracts, pay-roll, social coverage, recruitement process…);

- Investment Funds ( 40%) : advising the Private Equity Division of SGAM Alternative Investments with respect to various forms of funds (taking into account market requirements and local regulations); drafting, reviewing and negotiating term-sheets, offering documentation, fund documentation and related contractual documentation (confidentiality agreements, letters of intent, warranty agreements, side letters, vesting agreements …);
- Investments (40%) : taking part in investment reviews; reviewing due diligence reports; drafting, reviewing and negotiating investment documentation for venture capital Development Capital end Emerging Countries Investment Teams;

Corporate- Mergers & Acquisition (80%)
- Negotiation of commercial transactions and drafting related contractual documentation (confidentiality agreements, letters of intent, share purchase agreements, shareholders agreement, warranty agreements, escrow agreements…)
- Legal Due Diligence reviews, drafting of Due Diligence Reports
- Preparation of corporate documentation (minutes of board of directors and shareholders meetings)
- Drafting of fund related documentation (FCP regulations and prospectus, management agreement…)
- Advising on issues relating to business law, corporate law and consumers law

Litigation (20%)
- Assistance on Commercial and Criminal litigation files (liability of corporate officers and Companies), most cases having international implications
- Attending procedural hearings and preparation of pleadings
