Company transfers are complex operations, which come under several branches of the law.

The structure follows the order of tasks and allows an overview to be maintained. With regard to contracts, a clear and concise note accompanies each clause. Variations often allow a drafter to place him or herself in the place of the vendor or of the purchaser, according to the party represented.

In order to draw up draft contracts and other documents, you select the wording chosen by simply clicking a box with your mouse. The disadvantages of "cut and paste" then disappear: the program automatically exports your draft document to your usual word processor.



The wording is available in French and English. Subscribing to the French and English versions allows drawing up the draft document in the language of your choice and then obtaining its translation.

Distribution agreements, in the widest sense of the term, allow commercial trade in goods to be regulated both at inland and at international levels.

They cover a field that is growing ever wider, and which is becoming ever more often applied in national and supranational commercial law. The law of competition, the issues relating to price fixing, in addition to the rules governing social and consumer protection, nowadays lend this topic a complexity that often under-estimated.

It is in order to assist in negotiating, drafting and managing them that PACTA has brought together here the basic agreements which bind suppliers and distributors to one another.

The text has been drawn up, following the usual PACTA structure, by Didier FERRIER, Professor of the Faculty of Law and Economic and Management Science at Montpellier.

Each agreement is preceded by an introduction and a check list. The wording put forward is accompanied by particular comments. Several clause variations allow a drafter to adapt the draft agreement to the interests of the party represented.

In order to prepare draft agreements and other documents, all you have to do is to mark the text, and transfer it to your word processor. Compared with traditional techniques, there are considerable time savings.
